DirectorsAccording to the Company Act 1965, director includes any person occupying the position of a company by any name called and also includes a person in accordance with whose directions or instructions the directors of a company are accustomed to act and an alternate or substitute director. It shows that they comply with section 122 (1) of CA 1965. Furthermore, in Apollo Food Holdings Berhad, there are three types of directors which are executive directors, independent non-executive directors and non-independent non-executive directors, while in Silver Bird Group Berhad there are only two types of directors, which are independent non-executive directors and non-independent non-executive directors. Silver Bird Group Berhad does not have any executive documents as it complies with the listing requirements of Bursa Malaysia. Bursa Malaysia also requires that company directors attend the training program prescribed by Bursa Malaysia as it is important to improve their skills and knowledge in accordance with paragraph 15.09. Furthermore, BM also requires the listed issuer to report in the annual report a brief description of the training attended by the directors and the reason for any absence from the training programme. All directors of Apollo Food Holdings Berhad have attended the training program prescribed to them and have declared the training program in the annual report. On the other hand, directors of Silver Bird Group Berhad have attended various training programs. However, the training programs attended are limited to being referred to in general phrases without specifically mentioning at least the title of the programs.
